Terms and Conditions

1. Acceptance of Terms
By accessing or using DeltoriPro ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.
2. Service Description
DeltoriPro is an industrial diagnostic intelligence platform that connects to programmable logic controllers (PLCs), reads fault and operational data in real time, and provides recommended responses to your operations team. The Service is provided by Romulus Industrial Innovation LLC ("Company," "we," "us").
3. Beta Program
The Service is currently in a controlled early adoption beta. Features, pricing, and availability are subject to change. Early adopters who have signed a service agreement receive founding-customer pricing for the term specified in that agreement, with a scheduled step-up to list price at month 12–18 or first renewal, whichever is later.
4. Data and Privacy
DeltoriPro operates on your local network and does not transmit raw PLC data to external servers without your explicit configuration. Diagnostic session metadata (fault codes, timestamps, response recommendations) may be stored to improve the Service. We do not sell your operational data to third parties.
5. Payment Terms
Payment terms are defined in your signed service agreement. All invoices are due within 30 days of receipt. Accounts more than 60 days past due may result in suspension of access. Early adopter pricing is valid only for the term specified in the service agreement.
6. Use Restrictions
You may not: (a) reverse-engineer or decompile the Service; (b) resell or sublicense access to the Service; (c) use the Service in any manner that could disable, overburden, or impair its infrastructure; or (d) use the Service for any unlawful purpose.
7. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, your access to the Service will be deactivated. Data retained for compliance purposes will be deleted upon request within 90 days.
8. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost production, equipment damage, or data loss. Our total liability for any claim shall not exceed the amount paid by you for the Service in the preceding 12 months.
9. Disclaimer of Warranties
The Service is provided "as is" without warranty of any kind. We do not warrant that the Service will be error-free or uninterrupted. Recommended responses provided by DeltoriPro are advisory only and do not replace qualified personnel judgment.
10. Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Humboldt County, California.
